Terms of service
1. What this service is
BAFC acts as a sourcing agent. We identify suppliers, negotiate prices, arrange production follow-up, inspection and logistics on your instructions. We are not the manufacturer of the goods and we do not hold stock.
2. Quotes
- Quotes are prepared case by case, are valid for the period stated on them, and depend on the exchange rate and freight rate at the time of issue.
- A quote is not a contract. An order exists only when you accept a quote in writing and the agreed deposit clears.
- Landed-price (DDP) quotes include the duty and import VAT estimate we calculated. If a customs authority reclassifies the goods or applies a different rate, we will show you the authority's determination and agree how to proceed before incurring the cost.
3. Your responsibilities
- Give accurate specifications, and tell us the market where the goods will be sold so the correct compliance regime is used.
- Confirm that the goods are lawful to import in your country, and that any brand or design you supply does not infringe a third party's rights.
- Approve samples in writing, and respond within a reasonable time; production schedules depend on your approvals.
4. What we will not do
- Source counterfeit or trademark-infringing goods, weapons, controlled chemicals, narcotics or CITES-protected products.
- Under-declare customs value or misdescribe goods to a customs authority.
- Guarantee a specific unit price indefinitely, where the underlying exchange or freight market has moved.
5. Payment
Typically a deposit to begin production and the balance before shipment, with inspection evidence provided before the balance falls due. Tooling is invoiced separately and remains your property. Bank charges on international transfers are borne by the payer unless agreed otherwise.
6. Delivery and risk
Delivery dates are good-faith estimates built from factory and carrier lead times. Risk passes according to the Incoterm on the accepted quote: on a DDP quote, risk remains with us until delivery to the agreed address; on ex-works or FOB terms, risk passes when the goods leave the factory or are loaded, respectively.
7. Quality, defects and claims
- Goods are produced to the approved sample or written specification. That document is the standard against which quality is judged.
- Report visible damage within 7 days of delivery, with photographs, and keep the packaging.
- Report latent defects within 30 days of delivery.
- Our remedy is to pursue repair, replacement or credit from the factory on your behalf. We do not ourselves warrant the goods.
8. Cancellation
An order can be cancelled before production begins, less any costs already committed — tooling, materials, sampling and bank fees. Once production has started, cancellation is subject to what the factory will recover.
9. Confidentiality
Each party keeps the other's non-public information confidential. We will sign a mutual non-disclosure agreement on request before you share sensitive designs.
10. Liability
Our liability for any order is limited to the commission we earned on that order. We are not liable for indirect or consequential loss, including lost profit or lost business opportunity. Nothing here excludes liability that cannot lawfully be excluded.
11. Governing law
These terms are governed by the laws of the People's Republic of China, with disputes subject to the competent court at our place of business, without prejudice to any mandatory consumer protection rules in your country of residence.
